Terms of Use

Accessing or using PadelCortex (hereinafter the "Service") constitutes your full and unreserved acceptance of these Terms of Use. If you do not agree with any of the conditions set out herein, you must refrain from using the Service.

These terms apply both to the administrator who creates and manages tournaments (hereinafter the "Organising Admin") and to players who participate through the registration forms generated by that administrator.

PadelCortex is a Software as a Service (SaaS) platform designed to facilitate the organisation and management of padel tournaments. Its features include:

• Creation and configuration of tournaments with multiple categories.
• Collection of participants' time availability.
• Automatic generation of competition draws and match schedules.
• Recording of results and calculation of standings and ELO rankings.
• Sending email notifications to participants.
• Generation of public registration links and results pages.

The Organising Admin agrees to:

• Provide accurate information about the tournament (venue, dates, categories and participation conditions).
• Inform players about the processing of their data in accordance with PadelCortex's Privacy Policy before sharing the registration link.
• Not use the Service for unlawful, fraudulent or bad-faith activities.
• Keep their access credentials secure and not share them with unauthorised third parties.
• Notify PadelCortex immediately of any unauthorised use of their account.

A player completing the registration form agrees to:

• Provide accurate and up-to-date data (name, email address and availability).
• Not provide false information or impersonate another person.
• Not use the registration form for any purpose other than participating in the tournament.
• Not send unsolicited communications (spam) to other participants through the channels provided by the Service.

All source code, visual design, logos, scheduling algorithms, ELO calculation logic and other elements comprising PadelCortex are the exclusive property of its developers and are protected by applicable intellectual and industrial property legislation.

Use of the Service does not grant the user any intellectual property rights over the software or its components. Reproduction, modification, distribution or reverse engineering of the Service without prior written authorisation is expressly prohibited.

The admin represents and warrants that they hold all necessary rights over the content uploaded to the platform, including club logos, photographs, descriptions, promotional materials, player data and, in general, any material protected by intellectual or industrial property rights or containing personal data. The admin agrees to hold PadelCortex harmless against any claim, sanction, judgment or expense (including reasonable legal costs) arising from the misuse, infringement of third-party rights or unlawful processing of personal data associated with such content. This indemnification obligation shall survive termination of the contract.

PadelCortex is provided "as is" and "as available". To the maximum extent permitted by applicable law:

• PadelCortex does not warrant that the Service will be free of errors, interruptions or security vulnerabilities.
• PadelCortex shall not be liable for any direct, indirect, incidental or consequential damages arising from the use or inability to use the Service, including loss of data or revenue.
• PadelCortex's maximum liability to the Organising Admin shall not exceed the amount paid for use of the Service in the three months preceding the event giving rise to the claim.

The above limitations shall not apply to damage caused by wilful misconduct or gross negligence, nor to inalienable consumer rights under Article 82.2 of Spanish Royal Legislative Decree 1/2007. In particular, consumers resident in the European Union retain the rights granted to them by mandatory law in full.

PadelCortex targets a monthly availability of 99.5% for the public-facing functionalities of the Service (page reads and registration forms), measured as the percentage of time those functionalities have been operational during the calendar month.

The following are excluded from the availability calculation:

• Scheduled maintenance windows, communicated at least 24 hours in advance via the Organising Admin's email address or through a notice on the platform.
• Outages or degradations attributable to infrastructure providers (Vercel Inc., Neon Inc., Resend Inc.) over which PadelCortex has no direct control.
• Force majeure events.

Save as required by mandatory consumer law, failure to meet the availability target does not give rise to an automatic right to monetary compensation. PadelCortex may, at its sole discretion, offer credits towards future tournaments as a goodwill gesture where unavailability has materially affected an ongoing tournament.

Access to PadelCortex is governed by the model described on the pricing page (/pricing), in summary:

• The first tournament created by an Organising Admin is free.
• From the second tournament onwards, a fee of EUR 1 per registered player applies, calculated at registration close. This amount is due before the draws are published and can be invoiced to the club or the organiser personally.
• Acceptance of the model is explicitly required on the second-tournament creation form (paywall acceptance checkbox).

Amounts are expressed exclusive of VAT unless otherwise stated. If additional plans (Club, Circuit) or payment gateways (Stripe) are added in the future, they will be communicated in advance and require explicit acceptance.

The admin may exercise the right of withdrawal within 14 calendar days following the creation of their account, unless they have expressly requested that the provision of the service begin before that period and have acknowledged that they will lose the right of withdrawal once the service has been fully performed. The service is deemed to have been fully performed from the moment the admin **opens public registration for their first tournament** or **publishes a tournament** through a shareable link, whichever occurs first. For chargeable services (from the second tournament onwards, EUR 1 per player), the admin expressly acknowledges this loss of the right upon opening public registration. Invoices already issued are non-refundable except for justified cause.

Legal framework: Articles 102 and 103.a of Spanish Royal Legislative Decree 1/2007 (General Law for the Defence of Consumers and Users). Where the right of withdrawal still applies, send an email to info@padelcortex.app stating your name, admin email and affected tournament. Where applicable, amounts paid will be refunded within 14 calendar days using the same payment method.

PadelCortex reserves the right to modify, suspend or discontinue the Service at any time, with or without notice, for technical, operational or business reasons.

PadelCortex may also update these Terms of Use. Material changes will be communicated at least 15 days in advance via the registered email address or through a prominent notice on the platform. Continued use of the Service after changes take effect constitutes acceptance of those changes.

PadelCortex may suspend or cancel an Organising Admin's account, in whole or in part, in the following cases:

• Breach of the obligations set out in section 3, or use of the Service for unlawful, fraudulent or bad-faith activities.
• Publication of content infringing third-party rights (intellectual property, image rights, personal data) following a substantiated notice.
• Default of more than 30 calendar days on amounts due under section 9, after a prior request for payment.
• Reasonable indications of fraud, identity impersonation or abusive use of Service resources.
• Legitimate request from a competent authority.

Save in urgent cases (security risk, judicial requirement), PadelCortex will notify the cause by email and grant a 7-calendar-day cure period before final suspension. The Organising Admin may submit observations to info@padelcortex.app.

The Organising Admin may close their account at any time by requesting deletion at info@padelcortex.app, without prejudice to any outstanding contractual obligations and applicable tax retention periods.

Unless otherwise stated, notices between PadelCortex and the Organising Admin will be sent by email to the address registered on the account. Notices shall be deemed received 24 hours after dispatch, unless the sender receives a delivery error response.

It is the Organising Admin's responsibility to keep the contact email address up to date and to check the spam folder.

If any provision of these Terms of Use is held to be invalid, void or unenforceable by a competent authority, the remaining provisions shall remain in full force and effect. The parties shall negotiate in good faith to replace the affected clause with another that pursues, as far as possible, the same lawful objective.

These Terms of Use are governed by Spanish law.

For the resolution of any dispute, the parties submit to the courts and tribunals of Madrid, Spain, expressly waiving any other jurisdiction. This clause shall not be enforceable against a consumer: if you are a consumer resident in Spain or the European Union, you may bring proceedings before the courts of your domicile under Article 90.2 of RDL 1/2007 and Regulation (EU) 1215/2012.
